Agreement to Terms
Welcome to Christmas Countdown ("we," "our," "the App"). By downloading, installing, or using Christmas Countdown, you agree to be bound by these Terms of Use ("Terms").
IMPORTANT: If you do not agree to these Terms, do not download, install, or use the App. By using Christmas Countdown, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. License Grant
1.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
Download and install Christmas Countdown on iOS devices that you own or control
Use the App for personal, non-commercial purposes
Access features and content available in the App
1.2 License Restrictions
You agree NOT to:
Copy, modify, or create derivative works of the App
Reverse engineer, decompile, or disassemble the App
Remove, alter, or obscure any copyright, trademark, or proprietary notices
Rent, lease, loan, sell, sublicense, or distribute the App
Use the App for any illegal or unauthorized purpose
Circumvent any security features or access controls
Use the App in any way that could damage, disable, or impair our servers
Attempt to gain unauthorized access to any portion of the App
2. App Features and Functionality
2.1 Free Features
Christmas Countdown provides the following features at no cost:
Real-time countdown to Christmas Day (December 25th)
Three free themes: Classic Red, Snow White, Midnight Blue
Lock Screen, Home Screen, and StandBy mode widgets
Automatic year rollover
2.2 Premium Features (Pro Themes Pack)
The following features require a one-time in-app purchase ($3.99):
Access to all 10 premium animated themes
Complete removal of advertisements (banner and interstitial)
Lifetime access across all your iOS devices
2.3 Advertisements
Free users will see:
Banner advertisements at the bottom of app screens
Occasional interstitial advertisements when returning from background
Advertisements are completely removed for Pro Themes Pack purchasers.
3. In-App Purchases
3.1 Purchase Terms
The Pro Themes Pack is a one-time, non-consumable purchase:
Price: $3.99 USD (or equivalent in your local currency)
Payment processed through Apple's App Store
No subscription or recurring charges
Purchase syncs across devices using the same Apple ID
3.2 Payment Processing
All purchases are processed by Apple Inc. through the App Store:
Find Christmas Countdown purchase and request refund
We have no control over Apple's refund decisions.
3.4 Restore Purchases
You can restore your Pro Themes Pack purchase:
On any device signed in with the same Apple ID
By tapping "Restore Purchase" in Settings
At no additional cost
3.5 Price Changes
We reserve the right to change the price of the Pro Themes Pack at any time. Price changes do not affect purchases already made.
4. Intellectual Property Rights
4.1 Our Ownership
Christmas Countdown, including all content, features, graphics, designs, code, and functionality, is owned by Myriad Tech Labs and protected by:
Copyright laws
Trademark laws
Other intellectual property laws
4.2 Trademarks
The Christmas Countdown name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Myriad Tech Labs.
You may not use these marks without our prior written permission.
4.3 Third-Party Content
The App may contain content provided by third parties, including:
Advertisements displayed by Google AdMob
App icons and graphics from third-party libraries
All third-party content remains the property of its respective owners.
5. User Conduct and Prohibited Uses
You agree NOT to:
Use the App for any illegal purpose or in violation of any laws
Violate the intellectual property rights of others
Transmit any viruses, malware, or harmful code
Interfere with or disrupt the App's servers or networks
Attempt to bypass any security measures
Use automated systems (bots, scripts) to access the App
Collect user information without consent
Impersonate any person or entity
Use the App in any way that could harm minors
Use the App for commercial purposes without permission
6. Privacy and Data Collection
Your use of Christmas Countdown is also governed by our Privacy Policy, which explains:
What data is collected (by third-party AdMob for free users)
How data is used (advertising and analytics)
Your privacy rights and choices
By using the App, you consent to data collection and use as described in our Privacy Policy.
Pro Users: Purchasing the Pro Themes Pack removes all ads and stops all data collection by AdMob.
7. Third-Party Services
7.1 Google AdMob
Free users are served advertisements through Google AdMob. Your interaction with ads is subject to:

7.2 Apple App Store
Christmas Countdown is distributed through the Apple App Store. Your use is subject to:

7.3 Third-Party Links
Advertisements may contain links to third-party websites or services. We:
Do not control third-party content
Are not responsible for third-party practices
Do not endorse third-party products or services
You access third-party sites at your own risk.
8. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We disclaim all warranties, express or implied, including but not limited to:
Merchantability: The App may not meet your requirements
Fitness for a particular purpose: The App may not be suitable for your intended use
Non-infringement: The App may not be free from third-party claims
Accuracy: Countdown calculations are provided for entertainment purposes; we do not guarantee perfect accuracy
Availability: The App may experience downtime, errors, or interruptions
Security: We cannot guarantee the App is free from viruses or harmful components
We make no warranty that:
The App will meet your expectations
The App will be uninterrupted, timely, secure, or error-free
Results from using the App will be accurate or reliable
Any errors will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE APP.
We are NOT liable for:
Direct damages: Loss of data, loss of profits, or cost of replacement goods
Indirect damages: Loss of business, revenue, or reputation
Incidental damages: Unexpected consequences of using the App
Consequential damages: Damages resulting from errors or downtime
Special damages: Any unique or unusual damages
Punitive damages: Damages intended to punish
Maximum Liability: In any case, our total liability shall not exceed the amount you paid for the Pro Themes Pack ($3.99) or $50 USD, whichever is greater.
Exceptions
Some jurisdictions do not allow limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to defend, indemnify, and hold harmless Myriad Tech Labs, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
Your use or misuse of the App
Your violation of these Terms
Your violation of any rights of another party
Your violation of any applicable laws or regulations
11. Termination
11.1 Termination by You
You may terminate these Terms at any time by:
Deleting the App from all your devices
Ceasing all use of the App
11.2 Termination by Us
We may terminate or suspend your access to the App immediately, without prior notice, for:
Breach of these Terms
Fraudulent, abusive, or illegal activity
Requests by law enforcement or government agencies
Provisions regarding ownership, warranties, indemnification, and dispute resolution survive termination
12. Modifications to the App and Terms
12.1 App Changes
We reserve the right to:
Modify or discontinue the App at any time
Add or remove features
Update content, themes, or graphics
Change pricing for future purchases
We are not liable for any modification, suspension, or discontinuation of the App.
12.2 Terms Changes
We may revise these Terms at any time. Updated Terms will be posted with a new "Last Updated" date.
Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of:
Jurisdiction: Province of Quebec, Canada
Country: Canada
Without regard to conflict of law principles.
13.2 Dispute Resolution
In the event of any dispute arising from these Terms or your use of the App:
Informal Resolution: Contact us at anandporay@gmail.com to resolve the issue informally
Mediation: If informal resolution fails, parties agree to attempt mediation
Arbitration: If mediation fails, disputes will be resolved through binding arbitration
Venue: Any legal action must be brought in courts located in Montreal, Quebec, Canada
13.3 Class Action Waiver
You agree that disputes will be resolved individually, not as part of a class action or collective proceeding.
14. Miscellaneous Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms without our consent. We may assign these Terms to any affiliate or successor.
14.5 No Partnership
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.
14.6 Force Majeure
We are not liable for failure to perform obligations due to causes beyond our reasonable control, including:
Natural disasters
War, terrorism, or civil unrest
Government actions or regulations
Internet service provider failures
Apple App Store outages
14.7 Language
These Terms are provided in English. In case of conflict between English and translated versions, the English version prevails.
15. Apple-Specific Terms
The following terms apply to your use of Christmas Countdown on iOS devices:
15.1 Acknowledgment
You acknowledge that:
These Terms are between you and Myriad Tech Labs, not Apple
Apple is not responsible for the App or its content
Apple has no obligation to provide maintenance or support
15.2 Scope of License
The license granted is limited to a non-transferable license to use the App on iOS devices that you own or control, as permitted by Apple's App Store Terms of Service.
15.3 Maintenance and Support
Myriad Tech Labs is solely responsible for providing maintenance and support services. Apple has no obligation to provide such services.
15.4 Warranty
Apple is not responsible for any warranty claims. In the event of failure to conform to any warranty:
You may notify Apple for a refund of purchase price (if applicable)
Apple has no other warranty obligation
Any other claims are our sole responsibility
15.5 Product Claims
Myriad Tech Labs is responsible for addressing any claims relating to:
Product liability
Regulatory compliance
Consumer protection laws
15.6 Intellectual Property
In the event of a third-party claim that the App infringes intellectual property rights, Myriad Tech Labs (not Apple) is responsible for investigation and defense.
15.7 Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you.
